NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. ELIGIBILITY

The Bethany's Pantry x Nowhere Bakery Giveaway (the "Sweepstakes") is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age or the age of majority in their state of residence, whichever is older, at the time of entry. Employees, officers, and directors of Bethany's Pantry, LLC ("Sponsor"), Nowhere Bakery, and their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and any other entity involved in the development or administration of this Sweepstakes, and members of their immediate families (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and persons living in the same households as such individuals, whether or not related, are not eligible to participate or win. Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law.

2. SPONSOR

The Sweepstakes is sponsored by Bethany's Pantry, LLC ("Sponsor"). The co-sponsor is Nowhere Bakery ("Co-Sponsor").

3. SWEEPSTAKES PERIOD

The Sweepstakes begins at 12:00:00 AM Pacific Time ("PT") on February 9, 2026, and ends at 11:59:59 PM PT on February 16, 2026 (the "Sweepstakes Period"). Sponsor's computer is the official timekeeping device for this Sweepstakes. All entries must be received during the Sweepstakes Period to be eligible.

4. HOW TO ENTER

During the Sweepstakes Period, visit the official Sweepstakes landing page and complete the entry form by providing your full legal name and a valid email address. Upon submission, you will receive one (1) entry into the Sweepstakes. Limit one (1) entry per person throughout the entire Sweepstakes Period. Multiple entries from the same person will be disqualified. Entries generated by script, macro, bot, or any other automated means are void. Entries that are incomplete, illegible, corrupted, or otherwise not in compliance with these Official Rules are void. Proof of submission does not constitute proof of receipt by Sponsor. Sponsor is not responsible for lost, late, misdirected, incomplete, illegible, or unintelligible entries. All entries become the property of Sponsor and will not be returned or acknowledged.

5. PRIZE AND APPROXIMATE RETAIL VALUE

One (1) Grand Prize will be awarded, consisting of:

From Bethany's Pantry: One (1) Digestive Support Protein (450g pouch, winner's choice of flavor: Cocoa, Vanilla, or Strawberry), One (1) Digestive Support L-Glutamine (250g), One (1) Plant Protein Bake

From Nowhere Bakery: One (1) 6-Pack Sampler Pack, including: The Tag Cookie, The Choc Chip Cookie, The Candy Bar Cookie, The N'oatmeal Cookie, The Blondie, and The Brownie

Total Approximate Retail Value ("ARV") of Grand Prize: $175.00 USD. The actual value of the prize may vary based on fluctuations in the retail prices. Any difference between the stated ARV and the actual value will not be awarded. Prize is non-transferable and no substitution or cash equivalent will be provided, except at Sponsor's sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable for any reason. Winner is solely responsible for all federal, state, and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided.

6. WINNER SELECTION AND NOTIFICATION

On or about February 18, 2026, one (1) potential winner will be selected in a random drawing from among all eligible entries received during the Sweepstakes Period. The random drawing will be conducted by Sponsor or its designated representative, whose decisions are final and binding in all matters relating to this Sweepstakes. Odds of winning depend on the total number of eligible entries received. The potential winner will be notified by email at the email address provided at the time of entry. If the potential winner cannot be contacted within five (5) business days after the first attempt to contact such winner, if any prize notification is returned as undeliverable, if the potential winner fails to return properly executed documents within the required time period, or if the potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, such potential winner will be disqualified and an alternate winner may be selected from remaining eligible entries. Sponsor reserves the right to modify the notification procedures in connection with the selection of any alternate potential winner.

7. CONDITIONS OF PARTICIPATION

By participating in this Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to disqualify any entrant who is found to be tampering with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten, or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.

8. RELEASE AND LIMITATIONS OF LIABILITY

By participating in this Sweepstakes, entrants agree to release, discharge, indemnify, and hold harmless Sponsor, Co-Sponsor, and their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and all of their respective officers, directors, employees, agents, representatives, successors, and assigns (collectively, the "Released Parties") from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) participation in the Sweepstakes or any Sweepstakes-related activity; (b) acceptance, possession, use, or misuse of any prize; (c) any typographical or other error in these Official Rules or any Sweepstakes materials; (d) any technical malfunctions of any computer, cable, network, hardware, or software; (e) the unavailability or inaccessibility of any website or service; (f) any unauthorized human intervention in any part of the entry process or the Sweepstakes; (g) any injury or damage to persons or property, including but not limited to entrant's computer, that may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes; or (h) any other errors of any kind, whether human, mechanical, or electronic.

9. DISPUTES AND GOVERNING LAW

Except where prohibited, entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims, and causes of action shall be resolved exclusively by the United States District Court or the appropriate state court located in California; (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules.

10. PRIVACY

Information collected from entrants is subject to Sponsor's Privacy Policy, available at bethanyspantry.com/privacy. By entering this Sweepstakes, entrants consent to the collection, use, and disclosure of their personal information as described in the Privacy Policy and these Official Rules. Personal information collected will be used for the purpose of administering the Sweepstakes and will be shared with Co-Sponsor for prize fulfillment and marketing purposes. BY ENTERING THIS SWEEPSTAKES, ENTRANTS EXPRESSLY CONSENT TO RECEIVE MARKETING AND PROMOTIONAL EMAIL COMMUNICATIONS FROM BOTH BETHANY'S PANTRY AND NOWHERE BAKERY. Entrants may opt out of such communications at any time by following the unsubscribe instructions in any email received from either company. Opting out of marketing communications will not affect eligibility to win.

11. PUBLICITY

Except where prohibited by law, participation in this Sweepstakes constitutes winner's consent for Sponsor and its agents to use winner's name, likeness, photograph, voice, opinions, biographical information, and/or hometown and state for promotional purposes in any media, worldwide, without further payment, consideration, notice, or approval.

12. GENERAL CONDITIONS

Sponsor reserves the right to cancel, suspend, and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed to be submitted by the authorized account holder of the email address submitted. The term "authorized account holder" refers to the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address.

13. WINNER'S LIST

For the name of the winner (available after March 1, 2026), send a self-addressed, stamped envelope to: Bethany's Pantry x Nowhere Bakery Giveaway Winner's List, [INSERT ADDRESS], or email support@bethanyspantry.com with "Winner's List" in the subject line. Requests must be received by April 16, 2026.

14. SWEEPSTAKES RESULTS

The winner will be announced on Sponsor's social media channels (Instagram: @lilsipper and @bethanyspantry) and/or via email to all entrants, at Sponsor's discretion.

15. SEVERABILITY

If any provision of these Official Rules is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Official Rules and shall not affect the validity and enforceability of any remaining provisions.
